Introduction

1.1 These Terms and Conditions govern your access to and use of the services, website, content, publications and communications provided by Proactive Equities Pty Ltd (“Proactive Equities”, “we”, “us”, “our”) through proactiveequities.com.au (“Website”).

1.2 By accessing or using our Website, subscribing to our services, or receiving any content from us, you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree to these Terms and Conditions, you must discontinue use of our services immediately.

1.3 We may update these Terms and Conditions at any time, so we encourage you to review them whenever you use the Website. Any changes take effect once they are published on the Website. By continuing to use the Website or any Proactive Equities services after updates are posted, you are deemed to have accepted the revised Terms and Conditions.

1.4 Proactive Equities is a stock recommendation and research service. We do not provide personal financial advice. All content is strictly general in nature. General Financial Advice and Information Only

2.1 Proactive Equities only provides general financial information, commentary, stock analysis, market insights, and investment research. The materials on the Website are prepared without considering your personal objectives, financial situation or needs. Investors should make their own professional assessment of the suitability of the information on our Website, relying on their own inquiries. Nothing on our Website or in our publications constitutes personal financial advice, a recommendation to buy or sell securities tailored to you, or an invitation to invest.

2.2 You must not rely on our content as a substitute for professional financial advice. We strongly recommend you seek independent financial, legal or tax advice before making investment decisions. Investments in securities are subject to investment risk. Investment value may go down as well as up, and investors may not get back the full amount originally invested. Risks include: the investment objective may not be achieved, share market and other market risk, liquidity risk, and currency risk with international investments. Subscriptions, Pricing and Payments

3.1 We offer different subscription plans, which include Basic, Standard and Premium tiers. These plans vary by features, content access and pricing. The Basic plan is free of charge and has no fixed time limit; however, Proactive Equities reserves the right to cancel your Basic subscription at any time at its discretion.

3.2 Subscription prices are displayed on our Website and may be updated from time to time. All subscription fees are payable in advance before your access begins.

3.3 You acknowledge and agree that if any payment of the Subscription Fee is declined, returned or otherwise remains unpaid for any reason, you are responsible for all related costs, including any banking fees or charges incurred.

Free Trials and Refund Policy

4.1 We may offer free trials or promotional periods at our discretion. Our standard free trial is a Basic subscription plan with no fixed time limit; however, Proactive Equities reserves the right to cancel your Basic subscription at any time at its discretion.

4.2 We offer a 14-day cooling-off period for first-time subscribers. If you determine that Proactive Equities’ services are not suitable for your needs, you may request a full refund of the subscription fee by contacting us within 14 days of your purchase. To cancel your subscription during this period, please email us at info@proactiveequities.com.au. This refund policy applies only to new clients; existing or former clients who renew a subscription are not eligible for a refund. We do not provide partial or pro-rata refunds except as required by Australian Consumer Law.

Intellectual Property

5.1 All content on our Website, including articles, reports, recommendations, data, graphics, design, trademarks, logos, and software, is owned by Proactive Equities or licensed to us.

5.2 You may use our content only for your personal, non-commercial purposes. You must not:

  • copy, reproduce, distribute or republish our content
  • resell, sublicense or commercially exploit any part of our content
  • scrape, mine or extract data from our Website
  • share subscription content publicly or with non-subscribers

User Obligations

6.1 You agree that you will not:

  • a) use the Website for any unlawful purpose
  • b) interfere with or disrupt the Website’s operation
  • c) attempt to bypass security controls
  • d) share your account access with others
  • e) publish or distribute our content without permission

6.2 When creating an account or subscription, you must provide accurate, current and complete information. You are responsible for keeping your login details secure. You are responsible for all activity that occurs under your account.

6.3 You may not transfer or assign any rights or licences granted to you to any third party without the prior written consent of Proactive Equities.

Accuracy and Availability of Content

7.1 While we endeavour to provide timely and accurate research, we do not warrant the accuracy, completeness or currency of any information, nor do we promise that any forecast, analysis or recommendation will achieve specific outcomes. As markets can move rapidly, information may become outdated at any time and without notice.

7.2 While we will use reasonable efforts to provide uninterrupted access to our Website and services, we do not guarantee that access will always be uninterrupted, secure or error-free. We will provide advance notice when we expect the Services to be unavailable due to scheduled maintenance or other foreseeable events. If the Services become unavailable for an extended period during your prepaid subscription term for reasons within our control, you may request a pro-rata refund or a service credit.

7.3 If you believe you have identified an error on the Website or within any information provided through our services, please notify us as soon as possible so that we can review and correct it where appropriate.

Third-Party Linked Sites

Our Website may include links to external websites (“linked sites”) that are not operated or controlled by Proactive Equities. We are not responsible for the content of any linked sites, nor for any loss or damage that may result from your use of them. Your access to and use of linked sites is subject to the terms and conditions applicable to those sites.

Limitation of Liability

9.1 Subject to clauses 9.3 and 9.4, Proactive Equities makes no warranty, guarantee or representation regarding the merchantability or fitness for a particular purpose of any products or services referred to on, or accessed through, the Website or any linked sites. We do not warrant the security of any information you transmit to us, nor do we guarantee that the Website or any linked sites will be free from viruses, operate without interruption, or be error-free, or that any defects will be corrected.

9.2 Subject to clauses 9.3 and 9.4, Proactive Equities and its directors, officers, employees, consultants, agents and affiliates accept no liability for any loss or damage, whether direct, indirect, special, consequential, punitive or incidental, including loss of profits, loss of data, loss of use, damage to goodwill or reputation, or any other intangible losses, that you may suffer in connection with or arising from your access to or use of our services, the Website, or any linked sites, or from your use or reliance on any information provided through them.

9.3 Nothing in these Terms and Conditions limit or exclude Proactive Equities’ liability for fraud, wilful misconduct, gross negligence, unlawful conduct, or any other liability that cannot be excluded or restricted under the Australian Consumer Law or the Australian Securities and Investments Commission Act 2001 (Cth). These Terms and Conditions do not exclude, restrict or modify any rights or remedies you may have under those laws.

9.4 To the extent permitted by law and subject to clause 9.3, our total liability to you in connection with the services is limited to the resupply of the services, the cost of having the services resupplied, or, where resupply is not possible or appropriate, the amount of fees you paid for the services in the 12 months prior to the event giving rise to the claim.

10. Privacy

Your use of our services and Website is also governed by our Privacy Policy, which outlines how we collect, store and use your personal information. Breach

11.1 We may suspend or terminate your account if you commit a material breach of these Terms and Conditions. Except in cases involving fraud, wilful misconduct or unlawful conduct, we will provide you with written notice of the breach and a reasonable opportunity to remedy it before taking further action. Where the breach involves fraud, wilful misconduct or unlawful conduct, we may terminate your account immediately. If we terminate your account for reasons other than your material breach, you will be entitled to a pro-rata refund of any prepaid subscription fees.

11.2 Our failure or delay in exercising any right, power or remedy under these Terms and Conditions does not constitute a waiver of that right, power or remedy. Likewise, if we choose not to act in relation to a breach of these Terms and Conditions, this does not prevent us from taking action in relation to that breach or any future or similar breaches.

Governing Law

12.1 These Terms and Conditions are governed by, and must be interpreted in accordance with, the laws in force in New South Wales. By agreeing to these Terms and Conditions, you submit to the non-exclusive jurisdiction of the courts of New South Wales and any appellate courts.

12.2 Our Website may be accessed from outside Australia. We make no representation that the Website complies with the laws of any country other than Australia, including in relation to intellectual property. If you choose to access the Website from outside Australia, you do so at your own risk and are solely responsible for complying with the laws applicable in the location from which you access it.

Disclosure of Interests

Directors, shareholders, employees or contractors of Proactive Equities may, whether directly or indirectly, hold financial products or investments that are the subject of Proactive Equities’ research, analysis or commentary. Where this occurs, Proactive Equities will disclose the relevant interest in the applicable report, research or commentary. If any director, shareholder, employee or contractor is required under the Corporations Act 2001(Cth) to lodge a substantial holding notice or make a disclosure, a specific and detailed disclosure will be included in the relevant report, research or commentary.

Dispute Resolution

15.1 If a dispute arises out of or in connection with these Terms and Conditions, neither party may commence proceedings in any tribunal or court unless the dispute resolution process set out in clauses 15.2, 15.3, 15.4 and 15.5 has been complied with, except where urgent interlocutory or injunctive relief is sought.

15.2 A party claiming that a dispute has arisen (“Dispute”) must give written notice to the other party setting out the nature of the Dispute, the desired outcome, and the action required to resolve it. Upon receipt of this notice (“Notice”), the parties (“Parties”) must, within 14 days, use their best endeavours to resolve the Dispute in good faith through negotiation or by any other mutually agreed means. If the Dispute is not resolved within that 14-day period, the Parties must either agree on the appointment of a mediator or request that a mediator be appointed by the President of the Law Society of NSW Mediation Program or their nominee.

15.3 The Parties must share the mediator’s fees, reasonable expenses, and the cost of the mediation venue equally, and agree to pay any amounts required by the mediator as a condition precedent to the mediation commencing. Each Party must bear its own costs associated with the mediation. The mediation will be conducted in Sydney, Australia.

15.4 All communications made in connection with negotiations or mediation under this clause are confidential and, to the fullest extent permitted by law, are to be treated as “without prejudice” for the purposes of applicable laws of evidence.

15.5 If the Dispute has not been resolved within 30 days after the commencement of mediation, either Party may request that the mediator terminate the mediation, and the mediator must do so.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy, form the entire agreement between you and Proactive Equities regarding your use of the Website and our services.
